The full recipe sits with an independent escrow agent and releases to you under pre-agreed conditions, for example if the lab stops production, misses deadlines, or you decide to transition. You are not trusting them and they are not trusting you. You are both trusting a locked box with clear rules.

3. Co-development agreements with IP assignment clauses. Before development starts, the contract states plainly that the finished formula's intellectual property assigns to you. You are paying for the work; the paperwork simply says the work belongs to the person who paid for it. Radical, we know.

4. Buy the formula outright at a pre-agreed valuation. Sometimes cash is cleanest. You negotiate a fixed buyout number at the start, so if you ever want full portable ownership, the price is set and cannot balloon the moment you try to leave.
